HealthDay Reprint Terms of Use

These Terms of Use (“Agreement”) govern the licensing of HealthDay news articles provided by HealthDay, a division of ScoutNews LLC (“HealthDay,” “we,” or “us”) to any individual or organization purchasing a reprint (“Licensee”) through our website or associated payment forms.

By completing a purchase, the Licensee acknowledges and agrees to the following terms:

1. Grant of License

Upon receipt of payment, HealthDay grants the Licensee a non-exclusive, non-transferable license to republish the selected HealthDay news article(s) (“Licensed Article(s)”) for the specific use case identified at the time of purchase (such as a website, newsletter, blog, internal communication, or other clearly stated medium).

This license covers one-time use only, unless otherwise stated in writing by HealthDay.

Any additional use—including redistribution, syndication, re-publication in other formats, or inclusion in commercial products—requires separate written permission from HealthDay.

2. License Fee

The standard fee for licensing a HealthDay article is $250 per article, unless otherwise agreed in writing.

Payment of the applicable fee is required before publication rights are granted.

3. Permitted Use

The Licensed Article(s) may be used solely for the purpose specified by the Licensee at the time of purchase.

The Licensee may not:

- Alter or modify the article's editorial content.

- Remove or obscure attribution or copyright notices.

- Claim authorship or exclusive rights to the material.

- Use the article in any context that misrepresents HealthDay or the original journalism.

Any use outside the stated purpose is prohibited without HealthDay’s written approval.

4. Copyright Notice Requirement

The Licensee agrees to include the following copyright notice exactly as written at the bottom of each Licensed Article:

Failure to include this notice may result in revocation of the license.

5. Ownership

All intellectual property rights in the Licensed Article(s) remain exclusively with HealthDay.

No transfer of ownership is granted under this Agreement.

6. No Redistribution

The Licensee may not sublicense, sell, redistribute, or otherwise provide the Licensed Article(s) to third parties.

7. Termination

HealthDay may revoke the license if the Licensee:

- Violates these Terms,

- Misuses the content, or

- Fails to comply with attribution requirements.

Upon termination, the Licensee must immediately remove the Licensed Article(s) from all platforms and cease all use.

8. Limitation of Liability

HealthDay provides its content “as is” without warranties of any kind.

HealthDay is not liable for indirect, incidental, or consequential damages arising from the Licensee’s use of the Licensed Article(s).

9. Governing Law

This Agreement is governed by the laws of the State of New York, without regard to conflict-of-law principles.

10. Acceptance

By purchasing and/or using a Licensed Article, the Licensee acknowledges that they have read, understood, and agree to be bound by these Terms of Use.
